Global law firm Dentons has advised ABO Energy on the sale of its Hungarian and Polish subsidiaries to PPC Group, a leading powertech group in Southeastern Europe, in a transaction involving a renewable energy portfolio exceeding 2 GW.
The transaction includes the sale of ABO Energy Hungary and ABO Energy Polska, together with 29 special purpose vehicles holding 99 MW of solar projects that are either operational or nearing completion. The portfolio also includes more than 2 GW of solar, wind and battery storage projects at various stages of development.
The acquisition is planned to close in stages, with Poland and Hungary closing separately. Both legs of the transaction are expected to be closed by the end of the year.
The transaction is significant not only because of the size of the portfolio, but also because it marks an important step in PPC’s market entry into Central Europe. The transaction forms part of PPC’s 2026–2030 strategic plan, which targets further growth in Poland, Hungary and Slovakia.
A cross-border Dentons team, led by counsel János Csáki in Budapest, advised on all aspects of this complex transaction, which involved the parallel negotiation of two share purchase agreements and detailed closing mechanics. The Hungarian team also included partner Anita Horváth, who served as client relationship partner, partners Gergely Stanka and Marcell Szőnyi, senior associate András Peisch, associates Zsuzsanna Larsen, Frantisek Ordódy and Attila Tatár, and junior associate Zsófia Tihanyi. The Polish team, led by partner Christian Schnell, included senior associate Katarzyna Samoraj, with partner Dariusz Stolarek and counsel Damian Bugaj providing tax advice.
