Clifford Chance advises on US$500 million AES Dominicana notes issuance

Global law firm Clifford Chance has advised Citigroup Global Markets Inc., J.P. Morgan Securities LLC and Scotia Capital (USA) Inc., as joint book-running managers, in connection with the US$500 million issuance of 7.750% senior unsecured notes due 2033 by AES España B.V., guaranteed by Dominican Power Partners and AES Andres DR, S.A.

AES Dominicana will use the proceeds of the issuance to refinance existing indebtedness, including (i) senior notes due 2028 and (ii) local bonds due 2027. Any remaining proceeds will be used for general corporate purposes.

The global team was led by partner Hugo Triaca, supported by associate Joyce Moore and foreign law clerk Natalie Jana Deradi (New York). The team also included:

  • Amsterdam: partners Vermeer Boudewijn and Jurgen van der Meer, senior associates Martine Trip and Marina Sarkisjan and advocaat-stagiaire Mark van Brest.
  • Madrid: partner Eugenio Fernandez Rico, senior counsel Roberto Grau and foreign lawyer Juan Andres Bosch.
