Clifford Chance advises on EDEMSA’s new notes issuance and related tender offer and consent solicitation

Global law firm Clifford Chance has advised BofA Securities, Inc., Banco BTG Pactual S.A. – Cayman Branch and UBS Securities LLC (i) as initial purchasers, in connection with the offering of US$300 million aggregate principal amount of 9.75% senior notes due 2033 by Empresa Distribuidora de Electricidad de Mendoza S.A. (EDEMSA) and (ii) as dealer managers, in connection with the related tender offer pursuant to which EDEMSA repurchased over US$125 million aggregate principal amount of its outstanding 9.75% step-up notes due 2031 (the “Existing Notes”) and obtained consents from noteholders to amend certain covenants.

EDEMSA is the largest electricity distribution company in the province of Mendoza, Argentina.

The cross-border team was led by partner Hugo Triaca in New York and included associate Cristian Ragucci in São Paulo and foreign lawyer Juan Andres Bosch in Madrid. Partner Avrohom Gelber in New York provided tax advice.

Clifford Chance has advised on similar transactions across the Latin America market, particularly in Argentina, including on EDEMSA’s inaugural notes issuance in 2025 and EDENOR’s new notes issuance and concurrent tender offer last month.
