Baker McKenzie acted for Migros Bank AG, UBS Switzerland AG and Zürcher Kantonalbank as arrangers and original lenders and UBS Switzerland AG as agent and security agent in connection with their financing of the acquisition by the private investment house Ardian of a stake in Flowable Holding AG and its subsidiaries (“MFG”).
Switzerland-based MFG specialises in services, software development and digital transformation, cloud, and data consultancy for well-known blue-chip customers in the manufacturing, finance, insurance and life sciences sectors. MFG has more than 500 employees across 10 locations worldwide. Ardian is a private investment house, managing or advising USD150bn of assets on behalf of more than 1,400 clients globally.
Baker McKenzie advised the financing parties on all legal and tax aspects of the transaction.
