
Baker McKenzie has advised Mega Nova Holdings Limited (“the company”), a subsidiary of Shenzhen Tinno Mobile Technology Co., Ltd. and Tinno Technology Group Co., Ltd. (publicly traded in the PRC), in its acquisition of a 70% stake in Hong Kong-listed SMC Electric Limited (stock code: 2381) and the related mandatory general offer under the Hong Kong Takeovers Code.
The acquisition gives Mega Nova Holdings Limited a controlling stake in SMC Electric Limited and supports its plans to continue existing business and pursue new business opportunities for future growth.
The transaction highlights Baker McKenzie’s extensive experience advising on complex Hong Kong public M&A and Takeovers Code transactions, as well as its ability to navigate the cross-border regulatory considerations arising from transactions involving Hong Kong-listed companies and Mainland China-listed groups.
