Baker McKenzie Advises KBC Securities on the Formation of an ECM Joint Venture with Van Lanschot Kempen Investment Banking

Baker McKenzie advises KBC Securities, part of the KBC Group, on the formation and regulatory aspects of a joint venture with Van Lanschot Kempen Investment Banking, combining their equity research, sales, sales-trading, trading and Equity Capital Markets (ECM) execution activities.  The joint venture will support the investment banking activities of both KBC Securities and Van Lanschot Kempen Investment Banking, to deliver value to corporate and institutional clients.

The new entity will be the exclusive distribution channel for all ECM business for the respective clients of Van Lanschot Kempen Investment Banking and KBC Securities. KBC Securities and Van Lanschot Kempen Investment Banking will each hold a 50% shareholding in the new joint venture, the incorporation of which is subject to regulatory approval. Both parties will continue to be engaged in client coverage in respect of ECM transactions and to independently offer corporate finance services, including M&A advice.

The Baker McKenzie team was led by Joost Polman, Roel Meers, and Dominique Maes, and included Anne van den Dorpel, Alexis Gavriilidis, Sem Putman, and Kim Stas. The deal drew on the expertise of Baker McKenzie’s transactional practices across the Firm’s Amsterdam, Brussels, and US offices. Key contributors include Competition partner Frans Muller, counsel Bram Hoorelbeke, associates Beau Maes and Iris Ketels, as well as Financial Services Regulatory partner Tim Alferink and associates Olivier Van den Broeke, Gijs van Dijk, and Willem van Rees.
