Baker McKenzie Advises ADD Properties on a USD 265 Million Syndicated Financing for Hospitality Expansion in Egypt

Baker McKenzie has advised ADD Properties as borrower’s counsel on a landmark USD 265 million multi-tranche syndicated financing facility to support the expansion and modernization of its hospitality operations in Egypt.

The financing was provided by a consortium comprising the European Bank for Reconstruction and Development (EBRD), International Finance Corporation (IFC), Emirates NBD Group and the National Bank of Egypt (NBE).

The facility is intended to strengthen ADD Properties’ capital structure while supporting the continued growth and enhancement of its hospitality portfolio. This includes the development of a new Grand Hyatt hotel in West Cairo, overlooking the Grand Egyptian Museum (GEM) and the Pyramids of Giza.

The transaction represents one of the largest foreign-led debt financing facilities executed in Egypt’s hospitality and tourism sector in recent years and underscores continued international institutional and commercial financing activity in Egypt’s hospitality market.

Baker McKenzie acted as lead counsel to ADD Properties across English, Egyptian and Dutch law, bringing together lawyers from its Cairo and Amsterdam offices to advise on the transaction. The multi-jurisdictionalfinancing involved the coordination of complex legal workstreams across multiple jurisdictions, demonstrating the Firm’s ability to deliver seamlessly on sophisticated cross-border transactions through its integrated international platform.

Mostafa Lotayef, Lead Partner on the transaction, commented:

“We are proud to have supported ADD Properties on this landmark financing, which reflects the strength of the partnership between ADD Properties and a consortium of leading international and Egyptian financial institutions. The transaction brings together significant cross-border financing capabilities in support of ADD Properties’ continued investment in Egypt’s hospitality sector. Its scale, multi-tranche structure and multijurisdictional nature required close coordination across English, Egyptian and Dutch law, and we are delighted to have helped ADD Properties successfully in bringing this complex financing to completion.”

The Baker McKenzie team included Victoria Long (English law), Mostafa Lotayef, Lamyaa Gadelhak, Omar Gamaleldin, and Hania Elshazly (Egyptian law) from the Cairo office, alongside Fedor L Tanke, Edo Berghuis and Fleur Linssen from the Amsterdam office, who advised on Dutch law matters.

The financing was signed in October 2026.
