Baker McKenzie Advised Nemak in Any and All Tender Offer and Consent Solicitation

Leading global law firm Baker McKenzie announced today that it represented Nemak, S.A.B. de C.V., a Mexican company headquartered in Monterrey (the “Company”), in a cash tender offer and consent solicitation (the “Offer”) for any and all of its outstanding euro-denominated 2.250% Senior Notes due 2028 (the “Notes”). In connection with the Offer, the Company received tenders and consents from holders of approximately €446,911,000, or 89.38%, of the total outstanding principal amount of the Notes. Following the settlement of the Offer, which cleared through Euroclear Bank SA/NV and Clearstream Banking S.A., the Company issued a notice of redemption to remaining holders of the outstanding Notes.

Incorporated in 1993, Nemak is a leading provider of innovative lightweighting solutions for the global automotive industry, specializing in the development and manufacturing of multi-material components for e-mobility, structure & chassis, and ICE powertrain applications.

Scotia Bank Capital (USA) Inc. was the dealer manager and solicitation agent for the Offer.

Baker McKenzie lawyers also represented Nemak in connection with the 2021 issuance of €500 million aggregate principal amount of the Notes, pursuant to Rule 144A and Regulation S, as well as its 2015 initial public offering and several other prior international bond offerings.
