Herbert Smith Freehills Kramer has advised SEVER Life Sciences B.V. on the sale of Nordic Group B.V. and its subsidiaries to the global Italian pharmaceutical company Alfasigma S.p.A. The transaction excludes Nordic Pharma Inc. in the United States, which will remain part of SEVER Life Sciences B.V.
Nordic Group B.V. is an international specialty pharmaceutical company headquartered in the Netherlands. The company develops, manufactures, markets and distributes a broad portfolio of pharmaceutical products, dietary supplements and medical devices across Europe and selected international markets.
The acquisition advances Alfasigma’s M&A-led growth strategy and supports the expansion of its international specialty and rare disease business, with a particular focus on gastroenterology and immunology. The transaction will also expand Alfasigma’s geographic footprint through the addition of operations in Canada and Japan, while strengthening its presence in Europe. Following completion, Alfasigma will have direct operations in 18 countries and approximately 265 employees across the acquired business.
The transaction remains subject to customary regulatory approvals.
The Herbert Smith Freehills Kramer team was led by partner Alan Montgomery and senior associate Meera Thakrar, supported by Martyn Jones, Rhys Williams and Hugo Paul. The wider team included Veronica Roberts and Ali MacGregor (Regulatory), Perminder Gainda and Isha Goel (Tax), and Christine Young, Emma Rohsler and Hannah Gould (Employment). Jefferies acted as financial adviser to SEVER Life Sciences.
Meera Thakrar commented: “We are seeing sustained interest in high-quality pharmaceutical assets as companies seek to accelerate growth and broaden their international footprint. Drawing on our deep sector knowledge and cross-practice expertise, we were pleased to support SEVER Life Sciences on this transaction and look forward to continuing to support them as the transaction progresses towards completion.”
