Clifford Chance advises Triton on its intended acquisition of V&N Group from VolkerWessels, which includes Visser & Smit Hanab, VolkerWessels Telecom and Homij

Global law firm Clifford Chance has advised Triton, a leading European mid-market sector-specialist investor, on its intended acquisition of 100% of VolkerWessels Verbindingen en Netwerken B.V. (“V&N Group”), a company indirectly fully owned by Koninklijke VolkerWessels B.V. (“VolkerWessels”) and controlling the entities Visser & Spit Hanab B.V., VW Telecom B.V. and Homij Technische Installaties B.V. (the VolkerWessels Energy, Telecom and Technical Installation companies cluster).

V&N Group is a leading multi-utility service provider, present throughout the Netherlands and Germany, with dedicated focus on sustainable and digital solutions in the fields of energy & utility, connectivity and building installation services.

Completion of the transaction is expected to take place in Q3 of 2024 and is subject to customary conditions and approvals.

The Clifford Chance core team was led by Jan Hendrik Horsmeier and Tim Heerschop, and furthermore consisted of Robin Traas, Laura Dolstra, Polly Huls, Mies Riperman, Dolyne Munyampeta and Robert Bulte (Corporate M&A). The wide< cross-border leatn consisted of Andrei Mikes, Orsolya Gondos, Tamlin Higgins, Laura Bredschneijder (Tech//Digital), Michiel Sunderman, Pascal Borsjé (Tax), Jurre Jurriens, Fiorri Michael (Antitrust), Rebecca Sarkis, (Corporate), Floris van de Bult, Astrid Van Ommeren, Merle van den Berg, Iga Mamczarz (Employment), Wijnanda Rutten (Pensions), Liesbeth Buiter, Lotte De Bruin, Niels Kuil, Kris Soomers (Energy & Infrastructure), Mark-Jan Arends, Laura Stegeman and Lauresse Anemaet (Notary) in Amsterdam, Marc Besen, Dimitri Slobodenjuk, Arne Gayk and Simon Wattenberg (Antitrust) in Düsseldorf, and Nissim Massarano, Sam Parry, Jordan Bernstein (Antitrust) in London.
