Allen & Overy has advised Infinigate Group AG (Infinigate), a pan-European value-added distributor (VAD) of Cyber Security solutions and a portfolio company of Bridgepoint, on the acquisition of cloud solution provider (CSP) Vuzion to create the first VAD combining cybersecurity and cloud services.

This unique Secure Cloud value proposition will enable Infinigate and Vuzion resellers and partners to support the SMB sector on the journey to the cloud – enabling them to maximise the value of their cloud investments and accelerate growth.

Vuzion, headquartered in Hampshire with branches in Dublin and Belfast and an innovative Microsoft powerhouse, is Europe’s leading independent cloud services provider. It was also the first Microsoft UK provider to cover a full spectrum of offerings across the cloud platform partner ecosystem.

Infinigate, headquartered in Rotkreuz, Switzerland, offers state-of-the-art security solutions from more than 60 vendors, without developing, producing or altering IT solutions, through its European network of more than 10,000 partners, which includes resellers, integrators and consulting companies. Founded in 1996, Infinigate has today 11 subsidiaries and employs approximately 500 staff with a pan-European business inter alia in Germany, Switzerland, Austria, the United Kingdom, Sweden, France, the Netherlands, Belgium, Denmark, Finland and Norway.

The international Allen & Oyery private equity team comprised partners Karan Dinamani (London), Dr Roman Kasten (Frankfurt) and Dr Hendrik Roehricht (Munich), senior associate James Funder, associates Conor Slowey, Nina Gogic, Angela Chan, Alain Jalbert (all London), Maria Heilmann (Hamburg), Vida Malakooti and Georg Dalitz (both Frankfurt) as well as junior associate Gemma Boyle (Belfast), trainee Shaan Mann (London) and legal professional Matthew Torrens (Belfast).

Specialist advice was provided by partners Tim Harrop (Tax) and Nigel Parker (IP/IT/Data), senior associate Sorsha Reilly (Tax), associates Tara Smith (Litigation/Employment), Sydney Kitchen (Banking), Benjamin Scrace, Nicholas Phillips (all IP/IT/Data) and Gabrielle Minards (Compliance, all London).

In 2021, an Allen & Overy team also advised Bridgepoint on the acquisition of Infinigate. Furthermore, Infinigate was advised by Allen & Overy on the acquisition of Nuvias earlier this year.
