Global law firm Freshfields has advised Warburg Pincus and its portfolio company Infoniqa on the combination of Infoniqa with BRZ Deutschland GmbH, a German payroll and ERP software provider focussing on the construction industry. Nürnberger Baugruppe (NBG) is the seller of BRZ.
By virtue of the combination, Infoniqa will become a group of seven enterprises allowing it to leverage its substantial scale and further improving its ability to invest in AI, software development and new products. The transaction is anticipated to complete in the first quarter of 2025.
The Freshfields team was led by Carsten Haak with the core M&A team comprising Markus Paul, Maximilian Hobuss, Simon Wizemann, Nicolas Altmeyer and Sophie Thieme. Financing advice was provided by Mario Hüther and Hannes Butz. Commercial contracts and separation advice was provided by Marius Scherb while Tanja Walter-Yadegardjam and Sebastian Jung advised on the tax aspects of the transaction. Merit Olthoff and associate Johann von Pestalozza advised on antitrust matters and Mark Maarschalkerweerd and Hannah Erdman advised on Dutch law aspects of the transaction.
Teams led by Markus Paul and Carsten Haak had previously advised Warburg Pincus on the initial acquisition of Infoniqa as well as on several add-on transactions that resulted in Infoniqa growing into one of the leading payroll software providers in the German-speaking region.
