Dentons is representing affiliates of KKR in connection with their acquisition of Dawsongroup plc (“Dawsongroup”), a leading independent asset leasing business providing a diverse range of business-critical solutions, from the Dawson family and other existing shareholders. The transaction is subject to receipt of regulatory approvals. Financial terms of the transaction were not disclosed.

Headquartered in Milton Keynes, UK, Dawsongroup is a sector leader in asset leasing, including vehicles and refrigerated boxes, with a broad and integrated business model that involves the customisation of assets to customer specifications as well as maintenance and repairs. It has developed a solid platform with first-rate supplier relationships, a diversified customer base, and employs over 1,150 employees across 11 countries.

The acquisition will be made as part of KKR’s Global Climate strategy, dedicated to scaling net-zero solutions and transitioning and decarbonising higher emitting assets, which closely aligns with Dawsongroup’s long-term sustainability-led ambitions.

Dentons worked alongside lead corporate transaction counsel, Simpson Thacher & Bartlett LLP.

The Dentons multi-practice team advising KKR has been led by Stephen Levy and Joseph Altendorff, and includes Corporate senior associate Wei Wu and associate Emer Lynch, with specialist advice from Pension counsel Fee James, Employment consultant Mark Hamilton, Real Estate partner John Arey, IP senior associates Laura Ní Dhruacháin and Sam Caunt, Technology partner Sarah Lima, Technology associate Kate Armstrong, EHS partner Helen Bowdren and EHS associate Amy Morin.
