Latham Advises Partners Group on Acquisition of Rosen Group

Latham & Watkins has advised Partners Group, a leading global private markets firm, acting on behalf of its clients, on the acquisition of Rosen Group, a global provider of mission-critical inspection services for energy infrastructure assets. The founder, Hermann Rosen, will remain a significant partner alongside Partners Group in supporting the Company’s next phase of growth.

In connection with the acquisition, Latham also advised Partners Group on the financing.

Rosen Group is a global leader in inspection services, operating from 25 locations and covering more than 120 countries. The demand for inspections is high and rising due to an ageing asset base around the world and increasing regulatory pressure. The company derives the majority of its revenues from natural gas, which is considered an essential complement to renewables in the energy transition. Partners Group will work with management to leverage Rosen Group’s existing capabilities to expand into future energy sources, including new energy transition opportunities such as hydrogen transportation pipes, as well as into adjacent markets.

The Latham team was led by Munich corporate partner Rainer Traugott, with Frankfurt counsel Christina Mann, Munich associates Andreas Holzgreve, Julia Schöfer, Maximilian Kuchernig, Lena Hummel, Rieke Klie, and Julian Glaub, with New York associates Daniel Maggen, Daniel Williams, and William Tevlin. The finance team was led by London partner Jayanthi Sadanandan, with Washington, D.C. partner Scott Forchheimer, New York partner Kendra Kocovsky and London partner Ben Wright, with New York associate Jacob Sikora, Houston associate Richard Burks, and London associate Carry Chen. Advice was also provided on tax matters by Hamburg partner Verena Seevers and New York partner Matthew Dewitz, with Washington, D.C. associate Christina McLeod; on IP matters by Frankfurt partner Susan Kempe-Müller, with associate Julian Zimara; on regulatory matters by associate Alexander Wilhelm; on data privacy matters by associate Clemens Ganz; on real estate matters by associate Marie-Christine Welp; and on employment matters by New York partner Max Raskin and Munich partner Tobias Leder, with associate Christian Strauß.
