Latham Advises on Financing for Apollo Funds’ Completed Acquisition of U.S. Silica Holdings, Inc.

Firm represents the lenders supporting the acquisition of the diversified industrial minerals company and a leading last-mile logistics provider to the oil and gas industry.

U.S. Silica Holdings, Inc. (U.S. Silica or the Company), a diversified minerals company and a leading last-mile logistics provider to the oil and gas industry, and Apollo (NYSE: APO) have announced that funds managed by affiliates of Apollo have completed the previously announced acquisition of the Company. The Company will continue to operate under the U.S. Silica name and brand and will continue to be led by Bryan Shinn and the existing executive team.

Latham & Watkins LLP represented the lenders in the financing. The bond team was led by partners Ian Schuman and Erika Weinberg, with associates Isabelle Sawhney, Sofia Sitterson, and Alex Gulino. Advice was provided on tax matters by partner Jiyeon Lee-Lim, with associate Joe Marcus; on ELR matters by partners Maria Hoye, and Aron Potash, with associates Cody Kermanian and Brandon Kerns; on benefits matters by counsel Rifka Singer; and on litigation matters by partner Michael Romey.

The bank team was led by partner Josh Holt, with associates Hai Pham, Kevin Castillo, and Steven Hao. Advice was provided on tax matters by Bora Bozkurt, with associate Kathryn Harrington; on real estate matters by partner Kim Boras, with associates Ana De Santiago, Thomas Ficchi, and Gina Garrett; on benefits matters by partner Ashley Wagner; on environmental matters by partner Chris Norton; and on UCC matters by partner Brian Rock.
