Ropes & Gray Advises The Rise Fund on its Majority Investment in Outcomes First Group

Ropes & Gray has advised The Rise Fund, TPG’s multi-sector global impact investing strategy, on a definitive agreement with Stirling Square Capital Partners to acquire a majority investment in Outcomes First Group (“OFG”), a UK-based provider of best-in-class education to young people and adults with autism, learning disabilities, and other complex Special Education Needs (“SEN”). The Rise Fund is making a majority investment, with leading global alternative investment firm Investcorp making a minority investment.

OFG is one of the UK’s leading SEN providers, operating high quality schools that serve over 3,000 students between 3-25 years of age.

The Rise Funds are a core pillar of TPG Rise, TPG’s global impact investing platform. The Rise Fund’s latest investment is consistent with its longstanding focus on driving positive social impact and improved access to quality services across the education and healthcare industries.

The Ropes & Gray team was led by private equity partners Shona Ha and John Newton, with support from associates Eamon Gallagher, Joshua Nicholson, Siddharth Rajkhowa, Victoria Srivastava, Nicholas Tallon and Luke Wetmore, and trainee Sandli Pandey. Additional support was provided by finance partner Alex Robb, counsel Ana Biloglav and associate Chad Parkinson; litigation & enforcement partner Annie Herdman, counsel Tom Jackson, associates Olivia Bennett, Michael Harris and trainee Simon Jagoe; private equity real estate partner David Seymour, associate Harriet Banner and trainee Iain Fox; tax partner Chris Agnoli and associate Benjamin Wonnacott; and associate Robyn Bond and trainee Marina Sultonova (data, privacy & cybersecurity).
