Tauil & Chequer Advogados in association with Mayer Brown advised ENGIE Brasil on the acquisition of Atlas Energia Renovável do Brasil S.A. and Atlas Brasil Energia Holding 2 S.A., controlled by Global Infrastructure Partners – GIP, owner of Photovoltaic Complexes Juazeiro (BA), São Pedro (BA), Sol do Futuro (CE), Sertão Solar (BA) and Lar do Sol (MG). The projects are operational, with free and regulated market power purchase agreements, and a total installed capacity of 545MWac.

The total acquisition value will be, approximately, R$ 3,24 billion, considering the purchase price and Atlas’ net debt. This is the largest M&A transaction in Brazilian power industry and Latin America’s largest renewable energy deal this year, as well as an important milestone in the ENGIE Group’s growth in the renewable energy industry in Brazil.

Our association with Mayer Brown allows an integrated performance of our teams in Brazil and in the U.S.

In Brazil, the team was led by partners Débora Yanasse and Bruno Salzano and associate Bruno Ribeiro, with the support of partners Guido Vinci, Luiz Gustavo Bezerra, Michel Sancovski, Fabio Peixinho, Francisco Todorov e Adriana Giannini, Rodolfo Tella, Liv Machado, Aline Fidelis, counsel Jessica Queiroz, and associates Niandra Soares, Isabella Giorgi, Theodoro Scott, Victor Rodrigues, Caio Thomé, Mariana Iecker, Luiza Uebel, Thiago Garcia, Isabella Zambo, Guilherme Galiazzi e Rebeca Liareno.

The Mayer Brown team in New York was led by partner Elena Rubinov, with the support of partner Lucas Giardelli, and associates Michael Russo, Bruno Paccola and Julia Braga.

ENGIE’s in-house legal team was led by Yuri Ledra, Henrique Verçosa, Thatiana Nogueira and Leila Belkaid
