Sidley Represents Walgreens Boots Alliance in Its US$1.37 Billion Acquisition of Shields Health Solutions

Sidley is representing Walgreens Boots Alliance (“WBA”) in its agreement to acquire the remaining approximately 30% stake of Shields Health Solutions for US$1.37 billion. Shields Health Solutions is a specialty pharmacy company in the United States. WBA’s full acquisition of Shields from other equity holders follows the increase of WBA’s stake to approximately 70% in 2021. The transaction is expected to close by the end of the 2022 calendar year.

The Sidley team is being led by Jonathan Blackburn, Anika Hermann Bargfrede, and Chris Abbinante (M&A and Private Equity), and includes Will Schoenfeld and Reed Kreger (M&A and Private Equity); Matt Johnson and Marian Fielding (Employee Benefits and Executive Compensation); Scott Pollock and Daniel Henry (Tax); and Ash Nagdev and Carly Owens (Privacy and Cybersecurity).
