Sidley Represents USA Compression Partners, LP, in Its US$860 Million Acquisition of J-W Power Company

Sidley represented USA Compression Partners, LP (USAC), one of the largest independent natural gas compression providers in the U.S., in its US$860 million acquisition of J-W Power Company, a large privately held provider of compression services.

Under this agreement, USAC will deliver US$430 million in cash—supported by existing revolver capacity—and issue roughly 18.3 million new common units to the seller. The transaction is anticipated to close in the first quarter of 2026, pending customary conditions and regulatory approvals.
