Sidley Represents Bridger Aerospace in Business Combination with SPAC Jack Creek Investment Corp.

Sidley is representing Bridger Aerospace Group Holdings, LLC (“Bridger”), an independent provider of aerial firefighting services, in its proposed business combination with Jack Creek Investment Corp. (“Jack Creek”) (NASDAQ: JCIC), a special purpose acquisition company. Bridger is a mission-driven company focused on addressing the year-round threat of economic and environmental damage caused by wildfires. Upon completion of the proposed business combination, the combined company will be named Bridger Aerospace Group Holdings, Inc. and is expected to list on the NASDAQ Capital Market under the ticker symbol “BAER.” The business combination values Bridger at an implied US$869 million pro forma enterprise value. Blackstone Tactical Opportunities, an early Bridger investor, will retain its equity stake and will hold two seats on the company’s board of directors.

The Sidley team is being led by Josh DuClos and Geoffrey W. Levin (Private Equity), and Michael P. Smith (Supreme Court and Appellate); Edwin L. Norris, Jonathan M. Westreich, and Alison Appleby (Tax); E. Kyle Barnett (Technology and Life Sciences Transactions); Bart J. Biggers (Transportation); and William R. Levi (White Collar: Government Litigation and Investigations).
