Global law firm Norton Rose Fulbright is advising a consortium comprising TowerBrook, J.C. Flowers and Railsr (the Consortium) on their £283 million recommended cash offer for the entire issued and to be issued share capital of Equals Group Plc (Equals).
The Consortium’s offer for Equals is being made by Alakazam Holdings BidCo Limited (Bidco), a newly incorporated company to be indirectly wholly-owned by funds managed or advised by TowerBrook, funds managed or advised by J.C. Flowers and the shareholders of Railsr.
Alongside the Equals offer, Bidco and the Railsr shareholders have entered into a share sale and purchase agreement under which Bidco has agreed to acquire the entire issued and to be issued share capital of Railsr. Completion of the Railsr acquisition is inter-conditional with the offer for Equals and is expected to occur at the same time as completion of the Equals offer.
The team is being led by London corporate partner Kit McCarthy. Kit is being supported by a multi-disciplinary team of specialist lawyers from a number of offices, including James Parker, Victoria Birch, Albert Weatherill, Matthew Findley, Michael Alliston, Bénédicte Denis, Sébastien Praicheux, Stuart Neely, Tim Jones and Paul Griffin.
