Linklaters is advising private equity firm Montagu on the acquisition of Multifonds in a carve-out transaction from its corporate parent, Temenos AG.

Multifonds is a leading global provider of proprietary investment accounting and transfer agency software, used to administer more than $10tn of assets, making it a key contributor to the global financial system. Multifonds products perform a range of highly critical back- and middle-office fund services tasks, such as net asset value calculations, intra-day investment management, and investor lifecycle support across Know Your Customer (KYC) and Anti-Money Laundering (AML).

Multifonds has been part of Temenos – a Swiss-listed banking software provider – since 2015. After the transaction closes, Multifonds will operate as a new standalone company, led by its existing management team.

Montagu has built long-term investment expertise in technology solutions for the financial services sector. In addition, Montagu is a market leader in carve-out transactions, with over 30 carve-outs executed since 2002.

A Linklaters Team led by Ralph Drebes advised Montagu on this transaction. The team also includes Michael Leicht (Partner, TMT, Frankfurt), Matthew Devey (Partner, Employment, Frankfurt), Carl Sanders (Partner, Private Equity/M&A, Frankfurt), Christian Hundeshagen (Partner, Tax, Frankfurt), Florence Forster (Counsel, Corporate/M&A, Frankfurt), Lisa Jäger (Managing Associate, IP/LAI, Frankfurt), Tim Nobereit (Managing Associate, Tax, Hamburg), Hendrik Bier (Managing Associate, Employment, Frankfurt), Lars Harzmeier (Managing Associate, Litigation, Arbitration & Investigations, Frankfurt), Alyssia Mechalikh (Managing Associate, Corporate/M&A, Luxembourg), Julius Gerbaulet (Associate, Private Equity/M&A, Frankfurt), Sophie Laureen Schneider (Associate, Private Equity/M&A, Frankfurt), Thomas Kienle (Associate, TMT, Frankfurt), Jonas Baumann (Associate, TMT, Frankfurt), Amelie Kuse (Associate, Tax, Frankfurt), Juliane Kwasniok (Associate, Employment, Frankfurt), Pablo Moro Valbuena (Associate, Antitrust & Foreign Investment, Brussels), Maximilian Weitzel (Associate, Private Equity/M&A, Frankfurt), Charlie Hanser (Associate, Corporate/M&A, Paris) and Wladislaw Kirch (Transaction Lawyer, Corporate/M&A, Frankfurt).

The Linklaters Private Equity team advised leading financial investors on transactions involving listed and non-listed companies, both on buy-side and sell-side. The firm also advised Montagu on the acquisition of Universal Investment from private banks Berenberg and Lampe.
