Guardian Capital Partners, an operationally focused private equity firm that primarily makes control-oriented investments in lower middle-market private companies, announced the close of a single-asset continuation fund to extend its partnership with Havis, Inc. The Continuation Fund transaction allowed Guardian to offer liquidity to existing Havis shareholders while also securing new capital commitments to support the Company’s add-on acquisition strategy. The Continuation Fund was oversubscribed and capitalized by both existing and new Guardian limited partners. Kline Hill Partners and Barings served as co-lead investors in the Continuation Fund.
Latham & Watkins LLP represented Guardian in the transaction with an investment funds team led by New York partner Edward Nelson and Chicago partner Matthew Wynne, with associates Connor Ross, Stephanie Niamonitakis, and Monica Zhang. Advice was also provided on M&A matters by New York partner Jane Greyf and New York counsel Jennifer Wong, with associate Mapi Villanueva;* on tax matters by New York partner Gregory Hannibal, with associates Arash Lotfi and Allison Esquen-Roca; on investment funds regulatory matters by Washington, D.C. partner Aaron Gilbride, with associate Jennifer Tian; and on insurance matters by Los Angeles partner Drew Levin and San Diego/Los Angeles counsel Hannah Cary.
