Latham & Watkins Advises Catalyze and EnCap in Strategic Investment From Actis

Catalyze, a US based renewable energy platform, has announced that it has obtained a strategic investment from Actis, a global investor in sustainable infrastructure. Catalyze develops, owns, and operates distributed solar and battery storage infrastructure for commercial and industrial properties. Through this transaction, Actis will partner with EnCap Investments L.P. in Catalyze, with Actis committed to provide equity capital of up to around US$300 million.

Latham & Watkins LLP represents Catalyze and EnCap in the transaction with a corporate deal team led by Houston partner James Garrett, with associates Justin Thekkekara, Zek Zhang, Jordan Armstrong, Kevin Donovan, and Jeffrey Romano. Advice was also provided on tax matters by Houston partner Jim Cole, with associate Mike Rowe; on energy regulatory matters by Washington, D.C. partners Natasha Gianvecchio and David Schwartz, with associate Jamie Blackburn; on merger control matters by Washington, D.C. partners Jason Cruise and Damara Chambers and Washington, D.C. counsel Britton Davis; on environmental matters by New York counsel David Langer, with associate Brittany Curcuru; on ESG matters by Austin/Washington, D.C. partner Sarah Fortt, with associate Austin Pierce; on benefits and compensation matters by Houston counsel Krisa Benskin; on finance matters by Houston counsel Bryce Kaufman; and on sanctions and anti-corruption matters by New York partner Matthew Salerno and Washington, D.C. counsel Andrew Galdes.
