Latham & Watkins Advises Bosch Rexroth in Cross-border Acquisition of HydraForce

Bosch Rexroth has announced that it plans to expand its hydraulics business by acquiring HydraForce, Inc. based in Lincolnshire, Illinois (USA). HydraForce develops and manufactures compact hydraulic valves and solutions with 2,100 associates at six production sites in the USA, Brazil, Great Britain and China. Bosch Rexroth and HydraForce signed an agreement to that effect on July 15, 2022. The purchase price will not be disclosed. The transaction is subject to antitrust approvals.

Latham & Watkins LLP represents Bosch Rexroth in the transaction with a corporate deal team led by New York and Orange County partner Charles Ruck, Bay Area partner Luke Bergstrom, and Chicago partner Max Schleusener, with associates Jake Wasserman, Tyler Neal, Gilad Zohari, and Micah Kamoe. Advice was also provided on real estate matters by Chicago counsel Jeffrey Anderson, with associate Joanna Kamhi; on environmental matters by Los Angeles counsel Josh Marnitz; on tax matters by Chicago partner Diana Doyle, with associate Christopher Ohlgart; on US benefits and compensation matters by Chicago partner Ben Rosemergy, with associate Charnae Supplee, and on UK benefits and compensation matters by London partner Sarah Gadd, with associate Erin McKirdy; on intellectual property matters by Washington, D.C. partner Morgan Brubaker; on compliance matters by Chicago partner Meredith Monroe, with associate John Doyle; on antitrust and competition matters by Washington, D.C. partner Michael Egge, with associates Caitlin Fitzpatrick and Eva Beyer Blumenthal; and on CFIUS matters by Washington, D.C. partner Damara Chambers, with associates Zach Eddington and Sara Castiglia.
