Latham Advises the Special Committee of the Board of Directors of Sculptor Capital Management in Connection With Its Acquisition by Rithm Capital Corp.

Rithm Capital Corp. (NYSE: RITM; Rithm), an asset manager focused on the real estate and financial services industries, and Sculptor Capital Management Inc. (NYSE: SCU; Sculptor), a global alternative asset manager with US$34 billion in assets under management (AUM)(1), have announced entry into a definitive agreement under which Rithm will acquire Sculptor in a transaction valued at approximately US$639 million(2), which includes US$11.15 per Class A share of Sculptor.

Latham & Watkins LLP represents the Special Committee of the Board of Directors of Sculptor Capital Management with a corporate deal team led by New York partners Alex Kelly, Leah Sauter and Peter Harwich, with associates Adam Abulawi, Kyle Adams and Josh Barkow. Advice was also provided on tax matters by Washington, D.C. partner Andrea Ramezan-Jackson, with associate Shruti Hazra; on litigation matters by New York partners James Brandt and Blair Connelly, with associate Abhinaya Swaminathan; on fund regulatory matters by Chicago partner Laura Ferrell, New York partners Witold Balaban, Courtenay Myers Lima, and Beau Brashares, and Los Angeles partner Douglas Burnaford, with associates Daniel Filstrup and Brian Thompson; on UK regulatory matters by London partner Nicola Higgs, with associates Jonathan Ritson-Candler and Sidhartha Lal; on Hong Kong regulatory matters by Hong Kong partner Simon Hawkins, with associate Adrian Fong; on SEC-related matters by Chicago partner John Sikora; on FCPA matters by Washington, D.C. counsel Katherine Sawyer; on antitrust matters by New York partner Katherine Rocco, Brussels partner Héctor Armengod and Hamburg counsel Jana Dammann de Chapto, with associates Charles Sprague and Konstantinos Beikos-Paschali; on CFTC matters by New York partner Yvette Valdez, with associate Naffie Lamin; on executive compensation, employment and benefits by Washington, D.C. partner Adam Kestenbaum, with associates Courtney Thomson and Dane Rebkowec; and on finance matters by New York partner Stephanie Teicher, with associate Richard Burks.
