Latham & Watkins has advised IVS Partecipazioni, the majority shareholder of IVS Group, on the signed agreement by E-Coffee Solutions, a company controlled by Luigi Lavazza and IVS Partecipazioni, for the voluntary cash tender offer for all the shares of IVS Group. The tender offer is aimed at delisting IVS Group. The offer price is set at €7.15 per share.
As a result of the deal IVS Partecipazioni will maintain control of IVS Group. The parties have also signed shareholder agreements and option contracts that will allow Lavazza to acquire the entire share capital of IVS Group starting from 2027. The completion of the transaction is subject to obtaining necessary regulatory approvals.
