London-led team represents the existing owners in a landmark transaction for the global education sector.

Latham & Watkins has advised existing owners EQT, CPP Investments, and Nord Anglia Education on the sale of Nord Anglia Education to a consortium formed by Neuberger Berman Private Markets, EQT, and CPP Investments, together with other global institutional investors, for an enterprise value of US$14.5 billion.

Nord Anglia Education is a leading international schools organisation, operating over 80 schools in 33 countries and educating more than 85,000 students from ages 2 to 18.

EQT and CPP Investments continue their support of Nord Anglia Education, joined by Neuberger Berman and other global institutional investors, with the consortium diversifying Nord Anglia Education’s shareholder base to bring long-term support for sustained growth and stability to Nord Anglia Education. EQT is investing in Nord Anglia Education through its BPEA Private Equity Fund VIII. CPP Investments will reinvest a portion of its stake in support of the acquisition.

Latham’s cross-border team was led by London corporate partners David Walker and Suneel Basson-Bhatoa, supported by Hong Kong corporate partners Dominik Sklenar and Simon Cooke, with associates Jia Yan Ng, Alayna Kenney, and Beatrice Leung. Advice on finance matters was provided by partners Nicole Fanjul, Ian Lachow, Peter Sluka, Stelios Saffos, and Salvatore Vanchieri and counsel Colin O’Regan, with associates Emma Gilmore, Ellen Fischer, and Andrew Miller; on tax matters by partners Aoife McCabe and Katharine Moir, with associates Richard Liu and Arash Lotfi; on IP and information technology matters by partner Christian McDermott, with associates Elva Cullen and Kate Burrell; on data privacy matters by partner Gail Crawford and counsel Danielle van der Merwe, with associate Ben Leigh; on sanctions and Russian corporate matters by partners Rob Price and Olga Ponomarenko, with associates Amaryllis Bernitsa and Kirill Grishin; on anti-bribery and corruption matters by partner Nathan Seltzer; on pensions, employment, and benefits matters by partner Sarah Gadd and counsel Rifka Singer, with associates Joe Goddard, Harriet Gray, and Paul Lawrence; and on real estate matters by partner Quentin Gwyer, with associate Costa Thrasyvoulou.
