Hogan Lovells and KPMG advise Statkraft on the acquisition of 337 MW onshore wind turbines in Germany and France

Led by partner Carla Luh (Finance) and counsel Maximilian Broermann (M&A), international law firm Hogan Lovells has advised the Statkraft Group on the acquisition of the wind farm portfolio formerly owned by Breeze Two. The transaction was particularly complex due to the original financing structure.

The KPMG Team was led by Partner Ingo Rieke, International Transaction Tax with support from Mark Mischke (Tax Structuring) and Sebastian Bongartz (Tax Due Diligence). Director Dorothee Grobosch led the Finance team and Senior Manager Kurt Kuckelmanns was in charge for Forensic aspects of the transaction.

With the purchase of the wind farm portfolio, Statkraft is expanding its position as a leading producer of renewable electricity in Europe. In Germany, Statkraft’s power plant portfolio grows by 35 wind farms with a capacity of 310 megawatts. In France, four wind farms with a total of 27 megawatts are added – Statkraft thus becomes one of the ten largest onshore wind farm operators in Germany.

The transaction was carried out by Statkraft’s in-house team led by Thomas Paliege (Head of Legal Germany), Bastian Meitz (Head of Investment Management Germany), Christina Kohlmann (VP Group Tax Germany), Franck Dussurgey (Senior Legal Counsel), Friederike Spaniol (Senior Compliance Officer) and Martina Weber.

A broad Hogan Lovells team from Hamburg and Frankfurt led by Carla Luh and Maximilian Broermann (both Infrastructure, Energy, Resources and Projects team) provided comprehensive legal advice to Statkraft

Carla Luh and Maximilian Broermann jointly commented: “Statkraft is a key player in the implementation of the energy transition, which is also of great importance to Hogan Lovells. We are proud that, following the first Breeze transaction in 2021, we now could comprehensively support our long-standing client Statkraft in this complex transaction.”

KPMG advised Statkraft again on Tax in Germany and France, Finance as well as Forensic. Ingo Rieke commented: “We believe it was a key advantage for the timing and efficiency of the process that KPMG contributed the experience from the 2021 Breeze transaction for the benefit of all parties.”

Dr. Armin Hauschild (DĂĽsseldorf) acted as legal notary.
