Singapore, 31 January 2022 – Global law firm Hogan Lovells has advised Giift Management Asia Pte Ltd (Giift), a Singapore-based startup in the business of providing loyalty program solutions, in its issuance of a Convertible Note of US$50 million to Apis Fund.

Founded in 2013, Giift has established itself as a leading provider of loyalty management solutions across both Asia and around the world. The company serves the multi-faceted loyalty industry across three main functions including Loyalty Issuance, Loyalty Exchange, and Loyalty Payment. Managing over 50,000 programs across 55 countries and over 130 million users, Gifft now boasts the largest loyalty marketplace globally. Giift will use the fund to expand its resources in APAC and Africa as it invests in regional sales and business development and build market share in North America and Europe. The company will also continue to innovate and invest in its proprietary loyalty technology and platform to ensure maintenance of its competitive technological advantage.

The Hogan Lovells cross-border team was led by Singapore-based partner and Head of Corporate and Finance Asia-Pacific, Stephanie Keen. The team also included Jean-Marc Franceschi (partner, Paris), and Sylvia M. Taslim (counsel, Singapore).

Commenting on the transaction, Stephanie said: “We are grateful for the opportunity to assist Giift on the issuance of this convertible note offering. Giift is a company which continues to grow at strong pace and we are thankful to be with them on this journey.”
