Led by Frankfurt partner Dr Christoph Naumann, global law firm Hogan Lovells advised software company Cygna Labs Group on the acquisition of the VitalQIP product from Nokia. The agreement also includes the associated intellectual property and certain customer relationships as well as employees located in the United States, Poland and Romania.
Cygna Labs, a portfolio company of private equity firms INVISION and VR Equitypartner, is one of the three leading DDI providers worldwide. With the acquisition of VitalQIP, Cygna Labs expands its market share and strengthens its own product portfolio as well as intellectual property.
VitalQIP is a proven, open, and scalable DDI solution. DDI solutions help companies manage various tasks related to IP address management, domain name systems, and dynamic host configuration protocols.
Hogan Lovells regularly advises Cygna Labs on corporate transactions. Teams led by Dr Christoph Naumann have previously advised the software company on the acquisition of the Diamond IP business from the BT Group and the acquisition of the DDI business from the NCC Group. New York-based partner Meryl Bernstein led on the IP aspects of the transaction, Senior Associate Spenser Karr assisted on the drafting of the transaction documents and Associate Dr Dominik Lang led the legal due diligence.
Christian Ehrenthal, President & CEO of Cygna Labs, commented: “Christoph and the respective HL Teams in Europe and the United States have now worked with us on three cross-border acquisitions in the past 14 months, being available and responsive day, night and on weekends, and have been extremely pragmatic and hands-on in their approach to achieving Cygna Labs’ goals.”
