Leading international law firm Herbert Smith Freehills has advised Etablissements Maurel & Prom S.A. (Maurel & Prom) on its agreement with NG Energy International Corp. (NG Energy) to acquire of a 40% operating working interest in the Sinu-9 gas licence in Colombia, pursuant to a letter of intent signed on 19 January 2025.

The Sinu-9 gas block, which is located in the Sinu San Jacinto basin, lies in the Lower Magdalena Valley, 75km from Colombia’s Caribbean coast, and covers an area of approximately 1,260 square kilometres in the department of Córdoba. NG Energy is currently the operator of the Sinu-9 block and owns a 72% working interest in the licence, alongside Desarrolladora Oleum, S.A. DE C.V (15%), Clean Energy Resources S.A.S. The area has established infrastructure supporting up to 40 million cubic feet per day, with access to the Promigas pipeline, the northern natural gas trunk line of Colombia.

Maurel & Prom has been active in Colombia for over 20 years, and this transaction marks its return as an operator of producing assets in the country.

The Herbert Smith Freehills team was led by EMEA managing partner Nina Bowyer, supported across its Paris and Madrid offices by partners Miguel Fraga, Bruno Knadjian, Emily Fox and Emma Röhsler and associates Hennie Lui, Amélie Dugast and Hugh Cronin, together with a team from Torys led by Michael Amm, Mike Pedlow and Stephanie Stimpson, and Juan Manuel de la Rosa at Martínez Quintero Mendoza González Laguado & De La Rosa.

EMEA managing partner Nina Bowyer commented: “We are delighted to have had the opportunity to assist Maurel & Prom on this latest transaction, supporting our long standing and valued client on the further strategic growth of their portfolio.
