Magnet Forensics Inc., a Canadian developer of digital investigation solutions for enterprises and public safety organisations, announced the closing of the previously announced plan of arrangement with Morpheus Purchaser Inc., a newly created corporation controlled by Thoma Bravo, a leading software investment firm, whereby Morpheus acquired all of the issued and outstanding subordinate voting shares and multiple voting shares of Magnet Forensics, subject to the terms and conditions of the definitive arrangement agreement entered into on January 20, 2023.
Dentons advised the Special Committee of the Board of Directors of Magnet Forensics Inc., leading the negotiations of the acquisition and playing an instrumental role in the structuring of this cross-border transaction which involved navigating many related party issues, including requiring a valuation, dual share classes and multiple votes.
