London—Dentons has advised one of the largest listed integrated utilities in Europe, the Middle East and Africa, on its $1.2 billion acquisition of GS Inima, a global leader in water and wastewater treatment and water desalination, from GS Engineering & Construction.

TAQA’s acquisition of GS Inima marks a pivotal step in its strategy to establish a world-class, integrated global water platform. Headquartered in Madrid, GS Inima operates approximately 50 active projects—including 30 long-term PPPs—in water desalination and water treatment across ten countries, including Spain, Brazil, Mexico, the US, and Oman. This acquisition gives TAQA immediate access to high-growth markets across Europe, Latin America, and Asia, reinforcing its position as a leading international utility.

The acquisition builds on a year of strong momentum for TAQA, during which the Group has taken significant steps to broaden its water capabilities both domestically and internationally. In the UAE, TAQA strengthened its position in wastewater and recycled water by acquiring Sustainable Water Solutions Holding, now operating as TAQA Water Solutions.

Iain Black, lead transaction partner noted, “We are delighted to have supported our valued client on this significant transaction and in playing a key role in supporting TAQA’s strategic objectives. Dentons’ extensive global reach enabled us to leverage our leading cross-border M&A team and deep sector expertise across multiple jurisdictions, providing comprehensive support to TAQA on all aspects of the transaction.”

The cross-border, multi-practice Dentons team was led by Iain Black, corporate partner in the UAE, alongside Darren Acres, co-head of UK Corporate. International teams were led by Jesus Duran and Javier Moya in Spain, Pedro Seraphim in Brazil, Amanda Valdez in Mexico, Juliet Astbury in the USA, Yasser Taqi in Oman and Hong Chan in Vietnam.
