Dentons advises Kofola Group on minority acquisition of Alta Fermentación in Latin America

Prague—Global law firm Dentons has advised Kofola Group, one of Central Europe’s leading beverage producers, on the acquisition of a 49% minority stake in Alta Fermentación, a group with operations across Colombia, Panama and Ecuador. Completion of the transaction is expected in the first half of 2026; the purchase price has not been disclosed.

The transaction marks a significant strategic step in Kofola’s expansion in Latin America. Alta Fermentación employs more than 400 people and generates annual revenues exceeding US$20 million. Its portfolio includes three premium craft breweries, a network of nearly 40 restaurants and cafés, the specialty coffee brand COLO Coffee, and the Panamanian rum distillery Pedro Mandinga.
Dentons‘ legal advice on the transaction included cross-border structuring, legal due diligence, corporate and shareholder arrangements, and coordination across multiple jurisdictions.

“Supporting Kofola on this strategically important investment was a great example of Dentons’ ability to seamlessly coordinate complex, multi-jurisdictional transactions. The project combined corporate, regulatory, and commercial considerations across several Latin American jurisdictions,” said Petr Zákoucký, Partner at Dentons Prague.

Through this investment, Kofola will strengthen its footprint in Latin America, expanding its existing presence in Colombia and Panama and entering the Ecuadorian market. The acquisition provides access to strong local craft beer brands, including La Rana Dorada, Pola del Pub, Germania, and Sinners, alongside complementary coffee and spirits businesses.

The Relationship Partner on the transaction was Petr Zákoucký (Partner), who, supported by Tomáš Jonáš (Associate) led the coordination of the transaction from Prague. Mauricio Borrero (Partner) led the transaction team in Colombia, supported by Maria Macias(Associate), Manuel Julian Gonzalez (Associate) and Juan Jose Macias (Associate). The team also included Gisela Porras (Partner) and Tania Solis (Associate) in Panama, Maria del Mar Heredia (Partner) in Ecuador, and Stuart Bruce (Partner) in the British Virgin Islands.
