Global law firm Dentons has advised KB SmartSolutions, a subsidiary of Komerční banka, on the sale of its non-controlling interest in Platební instituce Roger to Orbian, the leading independent provider of supply chain finance and payables solutions.
The transaction is subject to the fulfilment of several conditions’ precedent, including regulatory notification to the Czech National Bank, and is expected to close during the first half of 2025. The parties have decided not to disclose the value of the transaction.
Based in Brno, Roger provides receivables financing products for SMEs as well as supply chain financing programs for large companies. Founded in 2013, it has been profitable since its inception. In 2024, it provided over €500 million of funding to its clients, making it one of the largest non-bank FinTech companies in Central Europe.
KB SmartSolutions invested in Platební instituce Roger in December 2020, creating one of the most successful partnerships between a bank and a fintech on the Czech market.
