Dentons advises Gulf Energy on its subsidiary Auron Energy E&P’s acquisition of Tullow Kenya

Global law firm Dentons has advised Kenyan-based and owned Gulf Energy on the purchase by its subsidiary, Auron Energy E&P Limited, of the shares in Tullow Kenya B.V. from Tullow Overseas Holdings B.V., a subsidiary of Tullow Oil plc. The closing of the transaction is subject to customary regulatory approvals.

Tullow Kenya owns a 100% undivided interest in the production sharing contracts for the oil and gas exploration Blocks 10BA, 10BB, and 13T located in the South Lokichar Basin in Kenya, representing approximately 463 million barrels of 2C resources. Gulf Energy plans to develop the interest areas and move to production and export.

A multi-jurisdictional team Dentons team from Kenya, the UK and the Netherlands advised Gulf Energy on the corporate, energy, and tax aspects of the transaction. Partners Andrew Mugambi (Nairobi) and Humphrey Douglas (London) led the team, which included counsel Tim Mosk (Amsterdam), partner Torquil Law (London), senior associate Seraphine Ndala, associate Arnold Ombasa (both Nairobi), tax partner Lorna McCaa, senior associate Jamie MacGregor (both Glasgow), consultant John Finnick (Edinburgh), senior practice development lawyer Alexander Hewitt (London), and associate Daniek Kradolfer (Amsterdam).
