London—Dentons has advised Capita plc (‘Capita’), a leading provider of business process services, driven by data, technology and people, on the sale of its travel and events businesses Agiito and Evolvi to Clarity Travel Ltd (‘Clarity’) for an enterprise value of £36.5 million on a cash free, debt free basis.
The agreement to sell these Capita businesses follows the completion of the divestment of Capita’s Software, Enforcement and PageOne businesses in July. The sale also marks the penultimate transaction before the completion of Capita’s non-core disposals programme.
Neil Nicholson, head of UK Corporate at Dentons said, “We’re very pleased to have supported the Capita team on another transaction, the seventh disposal we have worked on in support of its targets.”
The Dentons team advising Capita was led by Neil Nicholson with support from Corporate senior associates Joseph Collingwood and Verity Kent, Corporate associates Arjun Mehta and Katie Henson, Corporate trainee Cecilia Donkor, Real Estate partner John Arey, Real Estate associate Chloe Halliday, TMT partner Sarah Lima, TMT senior associate Tom Winstanley, Tax counsel Alastair MacLeod, Competition partner Adrian Magnus, Competition counsel Rebecca Owen-Howes and Competition senior associate Tanya Macrae.
