Dentons advises Beretta on the acquisition of Ruag Ammotec

Global law firm Dentons has advised Beretta Holding S. A. on the acquisition of 100 percent of Swiss-owned Ruag Ammotec.

Dentons advised with a multijurisdictional and multidisciplinary team on legal aspects of the transaction as well as the antitrust and FDI clearances and the relevant filings with the competent authorities in eight countries.

Milan-based partner Pier Francesco Faggiano – with support from senior associate Ferdinando Bonofiglio and trainee Matteo Defabiani – was responsible for the overall coordination in each phase, as well as for all the corporate aspects of the transaction. The following teams were involved in providing corporate law advice: partners Thomas Strassner, Richard Fagerer (US law) and counsel Alexander Reiner in Germany, partner Anita Horvath and counsel János Csáki in Hungary, partner John Flanigan and associate Caroline Pucel in France, partner Frederico Buosi in Brazil, partner Nora Wouters in Belgium and senior associate Christopher Winn in the UK.

Partner Michele Carpagnano in Rome led the assessment of FDI filing obligations at global level, handled the filing in Italy and coordinated the notifications in the other countries with support from associate Giulia Giordano. The team involved in FDI filings included partner Maria Brakalova and associate Dominika Wojewska in Germany, partner Pascal Chadenet and associate Romain Picard in France, partners Marcell Szőnyi and Balázs Csuday in Hungary, partner Jason M. Silverman in the US and counsel Melanie Martin in the UK. Partner Christopher Graf in London led on antitrust aspects with the involvement of partner Florian Wiesner in Dusseldorf.

Dentons collaborated with the following members of the Nextlaw Referral Network on corporate aspects, as well as antitrust and FDI clearances: Wenger Vieli (partner Beat Speck, and associate Anna Tomaschek) in Switzerland, Setterwals (partner Anders Soderlind and associate Donia Harouki) in Sweden, Binder Grösswang Rechtsanwälte (partners Christian Zwick and Johannes Barbist and associate Regina Kröll) in Austria and HPP Attorneys (partners Andrew Cotton and Anna Rubier) in Finland.
