Covington Represents Eaton in $1.55B Acquisition of Ultra PCS

LONDON/WASHINGTON—Covington advised Eaton in its agreement to acquire Ultra PCS Limited from the Cobham Ultra Group, in a deal valued at $1.55 billion.

Ultra PCS Limited, headquartered in Cheltenham, U.K. and with operations in the U.K. and U.S., produces electronic controls, sensing, stores ejection and data processing solutions, enabling mission success for global aerospace customers in the air and on the ground.

Eaton is an intelligent power management company dedicated to protecting the environment and improving the quality of life for people everywhere. It makes products for the data center, utility, industrial, commercial, machine building, residential, aerospace, and mobility markets.

The Covington team included Phil Cheveley, Catherine Dargan, and Drew Fischer (M&A), Guy Dingley and Ansgar Simon (tax), Antonio Michaelides and Megan Woodford (benefits), and Anne Lee, Christian Ahlborn, Ross Demain, Melissa Van Schoorisse, and Ross Evans (competition and FDI).
