Leading international law firm Clifford Chance has advised management of Corialis, a leading European designer and manufacturer of aluminium systems for windows and doors, on Astorg’s entry into exclusive negotiations to become the new majority shareholder of Corialis from CVC Capital Partners Fund VI. Corialis’ management will reinvest a significant part of their proceeds alongside Astorg. Clifford Chance also assisted with legal due diligence on the sell-side.

The Clifford Chance M&A team advising on the deal was led by Corporate Partner Niek De Pauw, along with tax partner Alexandre Ooms. They were assisted by associates Gillis Waelkens and Pierre-Olivier Van Caubergh. Niek De Pauw comments: “We have a longstanding relationship with Corialis and were delighted to work for Corialis’ management team on this important project, which is one of the largest Belgian M&A deals of 2021 to date.”

The legal vendor due diligence involved the firm’s offices in Belgium, France, Poland, the UK, Luxembourg and the People’s Republic of China.
