Clifford Chance advised a consortium of banks consisting of Santander Bank Polska and ING Bank Śląski on the financing of the takeover of Moventum – a Luxembourg-seated competitor – by ProService Finteco. Proservice Finteco is a leading Polish provider of IT solutions and services to financial institutions, jointly owned by Oaktree and Cornerstone. Their takeover of Moventum marks the beginning of ProService’s expansion to foreign markets. In December 2020 we advised the same lenders on the refinancing of ProService’s financial indebtedness and financing of additional acquisitions/capex.
The Warsaw Clifford Chance team advising on the financing included: Andrzej Stosio (Partner co-heading the Warsaw Banking & Finance Department), Irena Floras-Goode (Counsel), Nick Fletcher (Of Counsel), Aleksandra Rudzińska (Senior Associate), Natalia Karasiewicz (Associate), Aleksandra Białyszewska (Associate), Wojciech Wątor (Associate and Mateusz Ciechomski (Associate)).
The Luxembourg team consisted of: Marc Mehlen (Partner), Udo Prinz (Counsel), Oliver Zwick (Counsel) and Boika Deleva (Senior Associate).
