Carey Olsen’s corporate team in the Cayman Islands has advised Ambipar Emergency Response (NYSE:AMBI) (“Response”), a sister company of Ambipar Lux S.à r.l. (“the Issuer”) and a subsidiary of Ambipar Participações e Empreendimentos S.A. (B3:AMBP3) (“Ambipar”), in connection with (i) the offering of US$400 million aggregate principal amount of 10.875% Green Notes due 2033 (“the Notes”) to eligible purchasers pursuant to Rule 144A/Regulation S, and (ii) the add-on offering of US$93 million aggregate principal of Notes. The original issuance closed on 5 February 2025.
The Notes are guaranteed by Ambipar, Environmental ESG Participações S.A. and, subject to certain limitations, Response.
The Notes bear interest at the rate of 10.875% per annum and are callable after 5 February 2029. The net proceeds from the Notes will be used for the repayment of indebtedness and the remainder for general corporate purposes.
