Baker McKenzie advises New Mountain Capital on its acquisition of PerkinElmer, Inc’s Applied, Food and Enterprise Services businesses

Leading global law firm Baker McKenzie has advised New York-based investment firm New Mountain Capital in connection with its acquisition of the Applied, Food and Enterprise Services businesses (“AES”) from the Discovery & Analytical Solutions segment of PerkinElmer, Inc.

The AES business includes PerkinElmer’s leading OneSource laboratory and field services, along with a portfolio of atomic spectroscopy, molecular spectroscopy, and chromatography instruments, consumables and reagents that serve the biopharma, food, environmental & safety and applied end markets.

Jointly led by the Firm’s London Private Equity and Corporate Reorganizations teams, Baker McKenzie fielded a global team, coordinating lawyers across 33 jurisdictions and multiple specialisms, with significant use of its market-leading legal project management team and legal tech solutions.

The team was led by London Private Equity Partner, Alex Lewis, and London Corporate Reorganizations Partner, Rakesh Rathod.

Baker McKenzie Paris assisted New Mountain Capital in connection with the acquisition of PerkinElmer’s activities in France. The French team included:

  • Corporate/M&A: François-Xavier Naime (Partner), Guillaume Nataf (Partner), Arnaud Charpentier (Senior Associate), David Courchia (Senior Associate) and Baptiste Mancion-Probst (Associate)
  • Healthcare & Life Sciences: Julie Yeni (Partner), Caroline Arrighi-Savoie (Senior Associate) and Mélodie Truong (Associate)
  • Real Estate: Fabrice Varandas (Counsel), Kelly Ruster (Associate)
  • Employment: Jérémie Paubel (Partner), Vanessa Chaillan (Associate)

Commenting on the transaction, Corporate Partner, Alex Lewis, said: “It was a pleasure to support New Mountain Capital on this transaction. This deal demonstrates our unparalleled strength in delivering complex multijurisdictional carve-out transactions for our private equity clients.”
