Baker McKenzie advised Credit Suisse (Schweiz) AG on all legal aspects of the financing of the acquisition of VitalQIP from Nokia Solutions & Network Oy by Cygna Labs.
Cygna Labs is a portfolio company of the private equity sponsors INVISION and VR Equitypartner and is a leading software company in the areas of networking, cloud as well as security and IT structures in the so-called “DDI” area (DNS/DHCP/IPAM). Many Fortune 100 customers use Cygna Labs’ DDI products and services as well as security and compliance solutions to identify and proactively mitigate threats to their data security in a timely manner, pass compliance audits, and increase the productivity of their IT departments.
Going forward, Cygna Labs’ managed services offerings will be expanded to include solutions from VitalQIP, which is one of the top five providers of DDI software and has numerous deployments at large enterprises. This makes Cygna Labs the world’s number two provider of DDI. Following the acquisitions of the Diamond IP software solution from British Telecom and the DDI business unit of NCC Group last year, the VitalQIP add-on marks the third important growth step for Cygna Labs within a very short time.
In advising on the financing of the acquisition of VitalQIP, Baker McKenzie is continuing its successful collaboration with Credit Suisse, which it also advised on the original financing of the acquisition of Cygna Labs (N3K) by INVISION.
Baker McKenzie regularly advises private equity sponsors, corporates, debt funds, banks and other financial institutions on all aspects of complex domestic and cross-border leveraged buy-out financings, financial restructurings and general corporate financings, and has particular expertise in all financing instruments used in a leveraged buy-out, including senior structures, senior/super-senior structures (including first-out/second-out and unitranche), first-lien/second-lien structures, vendor loans, PIK/HoldCo loans, and mezzanine instruments.
