Allen & Overy advises Macquarie Capital on its investment into KevlinX Holding B.V.

Allen & Overy has advised Macquarie Capital Principal Finance (Macquarie Capital) on its investment into KevlinX Holding B.V. (KevlinX HoldCo), a newly established data centre platform in Europe.

KevlinX HoldCo is developing a data centre in Brussels through its indirect subsidiary KevlinX Belgium BV (KevlinX AssetCo) and the intention is for KevlinX HoldCo to be used as a platform for future data centre developments across Europe.

Macquarie Capital is a global alternative asset manager and provider of capital solutions across private equity, infrastructure, real estate, credit and other sectors. Macquarie Capital has a track record of investing in and developing data centres.

The Allen & Overy team was led by London-based PENRI partner Richard Evans, who commented:  “We are delighted to have advised Macquarie Capital on this strategic investment into KevlinX HoldCo, which marks their entry into the European data centre market. This transaction demonstrates the continued strong demand for digital infrastructure assets, driven by the growth of data consumption, cloud adoption and connectivity needs. The A&O team was led by infrastructure partner Richard Evans, senior associates Tom Betts and Fatima Shawaf, associates Laura Green, Elizabeth Shorland and Jessica Teng, and trainees Saurav Zangeneh and Evie Haywood. Associate Adithyan Sreekumar also provided support in relation to the governance arrangements.

Partner David Lee, senior associate Chinedu Ihenetu-Geoffrey, associate Saskia Volhard and trainee Moni Owoade led on the subordinated facility agreement and Phase 1a shareholder loan agreements.

Partner Jim Ford and associate Joyce Xu provided advice on the master and technical service agreements.

Dutch corporate law advice was provided by Sophie Roozendaal and Anne-Sophie van Gruijthuijsen. Jasper de Jong and Gerrit Kappelle provided advice in respect of the MIP and EIP term sheets.  Dutch employment advice was provided by Arnold Keizer and Rik Coomans. Dutch tax advice was provided by Rens Bondrager and Charlotte Hoff.

The DD process was coordinated by, and Belgian law advice was provided by, Filip Tanghe, Matthias Purnal, Axel de Hoon, Kristof Geukens, Margot de Wolf, Louis van de Wyer and Pieter-Jan Laleman.

Regulatory advice was provided by Charles Pommies and Klaudia Dadasiewicz.
