
Latham & Watkins has advised the pool of banks in the issuance of €300 million 5.50% senior secured notes due 2031 by PeopleCert, a global leader in the education and assessment industry. The proceeds from the offering have been used to redeem in full its €300 million senior secured notes due 2026 and pay fees and expenses related to the offering.
The Latham team was led by Milan corporate partner Jeff Lawlis and counsel Giorgio Ignazzi, with associate Edoardo Picchi and assistance from Giulio Maccarrone for US capital markets matters. The pool of banks was led by Morgan Stanley (as sole physical bookrunner) and Deutsche Bank which acted as Joint Global Coordinators and Joint Bookrunners, and by BofA Securities, Citigroup, Eurobank, Goldman Sachs Bank Europe SE, and Santander which acted as Joint Bookrunners, while Alpha Bank, Ambrosia Capital, CrediaBank, Euroxx Securities, National Bank of Greece S.A., and Optima bank acted as co-managers.
