Clifford Chance advises on US$500 million bond issuance by Grupo Energía Bogotá

Global law firm Clifford Chance advised BBVA Securities Inc., J.P. Morgan Securities LLC and Scotia Capital (USA) Inc., as joint bookrunners and joint lead managers, in connection with Grupo Energía Bogotá S.A. E.S.P.’s (GEB) US$500 million offering of 5.750% senior notes due 2035. The notes were listed on the Official List of the Singapore Exchange Securities Trading Limited, and the proceeds of the offering will support the company’s 2023–2027 investment plan. This marks GEB’s return to the international capital markets after its last issuance in 2023.

GEB is a public utility company organized under the laws of Colombia and majority-owned by the District of Bogotá, which owns, develops and operates electricity and natural gas infrastructure assets across Latin America.

The team advising on the transaction was led by partner Hugo Triaca in New York, with support from associates Joyce Moore and Adriana Cabal and foreign lawyer Natalie Jana Deradi.

Clifford Chance advises on many transactions in the Latin American energy sector, including on the first sustainable bond issuance by GEB in 2023, on GEB’s acquisition financing in 2022 and on GEB’s international bond issuance in 2020.
