Clifford Chance advises Crédit Agricole S.A. on the acquisition of Santander’s 30.5% stake in CACEIS

Crédit Agricole S.A. and Santander announced on 19 December 2024 having entered into an agreement for the acquisition by Crédit Agricole S.A. of Santander’s 30.5% stake in CACEIS, its asset servicing provider. Following the envisaged transaction, Crédit Agricole S.A. will control 100% of the share capital of CACEIS.

Crédit Agricole S.A. confirms its strategic priority to continue strengthening CACEIS’ position as a major European asset servicing player, supporting its clients’ business development objectives.

Completion of the transaction is subject to customary closing conditions, including regulatory approvals, and is expected to take place during 2025.

The Clifford Chance team comprised, in Paris, Mathieu Remy, partner, Alexandre Merle, senior counsel, and Marion Tual, associate, on the corporate aspects, Frédérick Lacroix, partner, Hélène Kouyaté, counsel, and Irina Rambeloson, associate, on the regulatory aspects, as well as David Tayar, partner, and Charley Bailliard, associate, on the antitrust aspects; and, in Madrid, Miguel Barredo, counsel, and Maria Vilar, associate, on the corporate aspects.

The London (Caroline Dawson, partner, and Jessy Cheng, senior associate) and Luxembourg offices (Christian Kremer, senior partner, Oliver Zwick, partner, Udo Prinz, counsel, Anne-Lise Vandevoir and Isadora Rousselle, senior associates) were also involved.
