Norton Rose Fulbright advises Abris Capital Partners on the sale of shares in DOT2DOT

Global law firm Norton Rose Fulbright has advised Abris Capital Partners on the sale of 100% of the shares in DOT2DOT S.A., the largest independent premium packaging producer in Central Europe, to Van Genechten Packaging.

Established in 2007, Abris Capital Partners is a leading independent private equity fund manager investing in Central Europe. With investment capital of almost €1.3 billion, Abris has obtained financial backing from various leading global investment institutions. Abris now employs a total of 40 professionals, based in Warsaw, Bucharest and Cyprus. The sale of 100% of shares to Belgium-headquartered Van Genechten Packaging, a leading European folding carton solutions provider, will enable further growth for both businesses.
During its ownership of DOT2DOT, Abris Capital Partners has transformed the business from a group of founder-led companies into a unified, modern enterprise with state-of-the-art facilities. Key initiatives implemented over the last few years included enhancing corporate governance, appointing a new executive leadership team and driving forward environmental sustainability focused activity.

In 2023, 94% of DOT2DOT’s revenue was derived from reusable, recyclable, or compostable products, and the company achieved a 50% reduction in carbon emissions per million euros of revenue compared to 2022.

The Warsaw-based Norton Rose Fulbright team was led by partner Agnieszka Braciszewska, who leads the Warsaw corporate and M&A practice as well as counsel Artur Jończyk. They were supported by the multi-disciplinary Warsaw corporate team on the preparation of the due diligence report and counsel Joanna Braciszewska Szarapa on specific financial elements of the transaction.
